Terms of Service
These terms govern your use of RatifAi. Last updated 7 October 2026.
1. Who you are contracting with
RatifAi is operated by BetterClosure Inc., a Florida corporation doing business as FlowClick, of 2125 Biscayne Blvd, Ste 204 #10484, Miami, Florida 33137, United States (“RatifAi”, “we”, “us”). By creating an account, clicking to accept, or using the service, you (“Customer”, “you”) agree to these terms. If you are accepting on behalf of an organisation, you confirm you have authority to bind it, and “you” means that organisation.
You must be at least 18 and not barred from receiving services under applicable law.
2. The service
RatifAi verifies email addresses and improves contact data quality — syntax and domain checks, mailbox probing, catch-all detection, enrichment, deduplication, golden records, list hygiene and an email finder — through a web dashboard, a REST API and webhooks.
A verdict is an assessment, not a guarantee. Email validation is probabilistic. Mail servers lie, rate-limit, accept everything, or change behaviour between one check and the next. We tell you what we observed and why, with evidence and provenance, so you can judge it. We do not warrant that an address we mark valid will accept mail, that an address we mark invalid would have bounced, or that enrichment data is accurate or current. You remain responsible for your own sending decisions and sender reputation.
3. Accounts, seats and API keys
You are responsible for your account credentials, for every action taken under your API keys, and for your users’ compliance with these terms. Seat limits by plan are: Free 1, Clean 1, Clean Pro 3, Always Clean 10, Data Ops unlimited. Tell us promptly at privacy@ratifai.app if you believe a credential has been compromised.
API keys are shown once at creation. We store only a one-way hash and cannot recover a key for you. Rate limits apply per plan (Free 10, Clean 100, Clean Pro 600, Always Clean 1,200, Data Ops 3,000 requests per minute).
4. Plans, credits and what is billable
Paid plans are monthly subscriptions. Current plans and monthly included validations:
- Free — $0, 50 validations, full depth.
- Clean — $29, 5,000 validations.
- Clean Pro — $79, 25,000 validations.
- Always Clean — $249, 100,000 validations.
- Data Ops — $999, 500,000 validations.
Included validations reset on your billing anniversary — the day of the month you subscribed — not on the first of the calendar month. Where that day does not exist in a given month, the reset falls on the last day of that month. Unused included validations do not roll over.
Pay-as-you-go credits never expire and are consumed only after your included allowance for the period is exhausted.
You only pay for answers. A check that cannot be completed — a probe that times out or a mail server that is unreachable — is never billed, under either fail policy. A result served from cache within its freshness window is not billed again. Hygiene re-checks are billed only where a fresh probe was actually performed.
Your fail policy controls what happens when a check cannot be completed: Fail Closed holds the address back as unverified; Fail Open passes it as provisional. Neither is billed. You choose this in Settings and it is your decision, not ours.
5. Payment
Payments are processed by Stripe. We never see or store your card number; card details are entered at Stripe’s hosted checkout. We retain only non-sensitive display details (brand, last four digits, expiry) so we can warn you before a card expires.
Fees are stated exclusive of taxes, which you are responsible for where applicable. If a renewal payment fails, we will email you and your subscription enters our payment provider’s retry process. If retries are exhausted, the subscription is cancelled and your account moves to the Free plan.
6. Cancellation and refunds
You can cancel at any time from Settings. Cancellation is genuinely self-serve — no phone call, no email, no retention queue.
Cancellation takes effect at the end of the period you have already paid for. You keep your plan and your remaining included validations until that date, you are not charged again, and your account then moves to the Free plan with its 200 monthly validations. You keep all your data.
We do not give refunds for partial periods. Because cancellation runs to the end of the paid period, you receive the full month you paid for. We may issue a refund at our discretion where we have made a billing error.
Pay-as-you-go credits are non-refundable but do not expire and remain available on the Free plan.
7. Price changes
We may change prices for future billing periods on at least 30 days’ notice to your billing contact. A change never applies to a period you have already paid for. If you do not accept a change, cancel before it takes effect.
8. Your data and the rights you grant us
You keep ownership of the contact data you submit (“Customer Data”). You grant us a non-exclusive licence to process it to provide the service, and to your users to access it.
Please read this part. To make validation, catch-all detection and the email finder work for everyone, we retain pseudonymised observations derived from checks run across all customers — a keyed HMAC-SHA256 of the address plus domain-level intelligence. This pooled corpus never contains the plaintext address and carries no customer identifier. You grant us a perpetual licence to create and use these pseudonymised observations, including after your account closes.
Two consequences we state plainly rather than bury:
- We cannot isolate and remove your account’s historical contribution to the corpus, because observations carry no customer identifier. Closing your account does not withdraw them.
- We can erase every trace of a named individual on instruction, across every store including the corpus, because the corpus is keyed by the hash of the address. See the Privacy Policy and Data retention & privacy.
We may use aggregate, non-identifying statistics about service usage to operate and improve the service.
9. Your responsibilities for contact data
You are the controller of the contact data you submit. You confirm that you have a lawful basis to process it and to instruct us to process it on your behalf, that you have given any notices and obtained any consents your law requires, and that your instructions will not put us in breach of data protection law.
Our Data Processing Addendum forms part of these terms and applies automatically where we process personal data on your behalf. You do not need to sign it separately.
10. Acceptable use
Your use must comply with our Acceptable Use Policy, which forms part of these terms.
11. Suspension and termination
We may suspend or terminate your access where you materially breach these terms or the AUP, where your use threatens the security, integrity or availability of the service, or where we are required to by law. Where circumstances allow, we will give notice and an opportunity to cure. For a suspected imminent harm — abuse of the corpus, an attack on our infrastructure, unlawful data — we may suspend first and explain promptly afterwards.
You may delete your account at any time from Settings. Deletion is confirmed rather than one click, your API keys stop working immediately, and a 30-day grace period applies during which the account can be restored. After that, deletion is irreversible. What is removed and what survives is set out in Data retention & privacy.
12. Intellectual property and feedback
We retain all rights in the service, our software, models, documentation and the pseudonymised corpus. You retain all rights in Customer Data. If you send us feedback or suggestions, we may use them without obligation or compensation.
13. Confidentiality
Each party will protect the other’s non-public information with at least reasonable care and use it only to perform under these terms. This does not apply to information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law (with notice where permitted).
14. Disclaimers
Except as expressly stated, the service is provided “as is” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, nor that any verdict, enrichment value or score is accurate, complete or current. We offer no uptime commitment under these terms; any service level we agree separately will say so in writing.
15. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, revenue, goodwill or data, however caused.
Our total aggregate liability arising out of or relating to these terms will not exceed the fees you paid us in the twelve months before the event giving rise to the claim. Where you are on the Free plan and have paid nothing, our aggregate liability will not exceed US$100.
These limits do not apply to your payment obligations, to either party’s indemnity obligations, or to liability that cannot be limited by law.
16. Indemnity
You will defend and indemnify us against third-party claims arising from Customer Data, from your breach of these terms or the AUP, or from your lack of a lawful basis to submit contact data to us. We will defend and indemnify you against third-party claims that the service as provided infringes that party’s intellectual property rights.
17. Changes to these terms
We may update these terms. For material changes we will give at least 30 days’ notice to your billing contact, and the change applies from the start of your next billing period. Continuing to use the service after that date means you accept the change. The “last updated” date at the top always reflects the current version.
18. General
These terms, with the AUP, the DPA and any order form, are the entire agreement between us. You may not assign them without our consent; we may assign them to an affiliate or in connection with a merger or sale of assets. If a provision is unenforceable, the rest stands. A failure to enforce is not a waiver. Nothing creates a partnership, agency or employment relationship.
19. Dispute resolution, arbitration and class action waiver
Please read this section carefully. It changes how disputes between us are resolved, and it limits your right to bring a claim in court or as part of a class. You can opt out of it within 30 days.
Talk to us first. Before starting an arbitration, you agree to email legal@ratifai.app with a short written description of the dispute and the relief you want, and to give us 30 days to resolve it. We will do the same before bringing a claim against you. Most disputes end here.
Binding arbitration. If that fails, any dispute arising out of or relating to these terms or the service will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Miami-Dade County, Florida. The arbitrator decides all issues, including the scope and enforceability of this section, except those reserved to a court below. Judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own costs unless the arbitrator decides otherwise.
Exceptions. Either party may, without arbitrating first, (a) bring an individual claim in small-claims court, and (b) seek injunctive or other equitable relief from a court to protect intellectual property or confidential information, or to stop unauthorised access to the service.
Class action and jury trial waiver. Disputes are arbitrated only on an individual basis. You and we each waive any right to bring or take part in a class, collective, consolidated or representative action, and the arbitrator may not consolidate claims or preside over any representative proceeding. Both parties waive any right to a jury trial. If this paragraph is held unenforceable as to a particular claim or remedy, that claim or remedy is severed and proceeds in court under section 20, and everything else stays in arbitration.
Opting out. You may reject this section by emailing legal@ratifai.app within 30 days of first accepting these terms, giving your account email and saying you opt out of arbitration. Opting out affects nothing else about your account and we will not treat you adversely for it.
Where this does not apply. This section does not apply where arbitration or a class waiver is unenforceable under mandatory law applicable to you, including consumer protection law in your country of residence. Those disputes are resolved under section 20.
20. Governing law and venue
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration under section 19, the exclusive venue is the state and federal courts located in Miami-Dade County, Florida, and both parties consent to personal jurisdiction there. The UN Convention on Contracts for the International Sale of Goods does not apply.
Nothing in this section or section 19 deprives a consumer of the protection of mandatory law in their country of residence.
